Form S-8

Also called: S-8 registration

In one line

A simplified SEC registration public companies use to register shares issued to employees under equity plans.

In plain English

After an IPO, companies file Form S-8 to register the shares underlying employee options and RSUs, making those shares freely tradable once other conditions (like lock-up) are met.

Why it matters when you sell

S-8 registration is part of what frees your employee shares to trade after an IPO, alongside the lock-up expiring.
