Information rights

Also called: info rights

In one line

A shareholder's contractual right to receive certain company financial and performance information.

In plain English

Investors often negotiate information rights — regular financials, cap tables, updates. Employees usually have limited or no such rights, which makes valuing your own shares harder.

If you were explaining it to a 5-year-old

Some club members are allowed to see the club's secret notebook of how it's doing; most kids aren't.

Why it matters when you sell

Without information rights, you may struggle to get the data to value your shares — a real hurdle when preparing to sell.
