Also called: trading policy, blackout policy
In one line
Company rules restricting when insiders can trade shares, especially around sensitive information or set blackout windows.
In plain English
Even privately, and certainly after an IPO, companies restrict when those with inside information can buy or sell. Trades may be allowed only in open 'windows' and barred during blackouts.
If you were explaining it to a 5-year-old
A rule that says you can't trade toys when you know club secrets others don't — only during fair, open times.
Why it matters when you sell
These policies can limit exactly when you're permitted to sell, so check them before lining up a transaction.
