Last round price

Also called: last preferred price, most recent round price

In one line

The per-share price investors paid in the company's most recent funding round — a common starting point for valuing shares.

In plain English

The last round price is the freshest market signal of what the company is worth, but it's the preferred price. Your common shares are typically worth less after discounts.

If you were explaining it to a 5-year-old

The price the newest investor paid for a toy — a good clue to value, though your plain toys are worth a bit less.

Why it matters when you sell

Secondary prices are usually quoted as a discount to the last round price, so it's the anchor for any sale negotiation.
