Nominee shareholder

Also called: nominee, nominee arrangement

In one line

A party that legally holds shares on behalf of the real (beneficial) owner, common in European employee-share structures.

In plain English

A nominee appears on the register while you remain the true owner behind the scenes. Used to simplify cap tables — for example pooling many small employee holdings under one name.

If you were explaining it to a 5-year-old

A grown-up whose name is in the ownership book, holding the toy for you — you're the real owner behind them.

Why it matters when you sell

If your shares are held via a nominee, the nominee's rules and the arrangement govern how you can sell.
