Restricted stock

Also called: restricted shares

In one line

Shares you hold that carry restrictions — on vesting, transfer, or resale — until certain conditions are met.

In plain English

'Restricted stock' broadly means shares that aren't yet freely yours to sell: they may be subject to vesting (like an RSA), company repurchase, or securities-law resale limits.

Toys you hold that still have strings attached — you can't freely sell them until you've met the rules.

Why it matters when you sell

Knowing which restrictions apply to your shares tells you what you can actually sell today versus what's still locked.
