BSPCE explained: France's startup options

BSPCE are the gold standard of French startup equity — a tax-advantaged right to buy shares later at today's price. Here's how they work and what happens when you sell.

What BSPCE are

BSPCE ('bons de souscription de parts de créateur d'entreprise') give employees of qualifying French companies the right to buy shares at a fixed price, with favourable tax if conditions are met. Unlike a German VSOP, exercising BSPCE gives you real shares you may be able to sell.

How they work

You're granted BSPCE at a set exercise price (based on a recent share value). As they vest, you can exercise — paying that price to receive real shares. Those shares can then be sold, subject to the company's transfer rules and any transfer formalities.

Tax: the PFU and seniority rules

BSPCE gains are taxed under specific French rules. The gain is generally taxed under the PFU flat regime, though the rate can depend on how long you've held your role and the shares — longer tenure tends to mean more favourable treatment. France's exit tax can also apply to large holders who leave the country. Confirm current rates at source.

BSPCE are prized precisely because, when conditions are met, the tax is far lighter than ordinary salary — making them one of Europe's most attractive employee-equity instruments.

Turning BSPCE into cash

Because BSPCE exercise into real shares, you have genuine routes to liquidity: a company tender, an approved secondary buyer, or an eventual exit. See liquidity in Europe and should I sell my BSPCE?

Frequently asked questions

Can I sell shares from my BSPCE?
Yes, potentially. BSPCE are exercised into real shares, which can then be sold subject to your company's transfer restrictions and approvals — through a tender, an approved buyer, or at an exit. This makes them more liquid in principle than virtual-share schemes like German VSOPs.
How are BSPCE taxed in France?
BSPCE gains are generally taxed under the PFU flat regime, with the exact treatment depending on factors such as how long you've been with the company. The treatment is deliberately more favourable than ordinary salary. Rates and thresholds change, so confirm the current position with impots.gouv.fr or an adviser.
Are BSPCE better than ordinary stock options?
For eligible French startup employees, usually yes — BSPCE carry lighter, more favourable tax than standard options or salary when conditions are met. That's why they're considered the flagship French employee-equity instrument. Eligibility rules for the company and employee must be satisfied.
