Deciding what to do · EuropeShould I sell my VSOP, BSPCE or other European equity?
The first question in Europe is often not 'should I sell?' but 'can I?'. The answer depends heavily on which instrument you hold — virtual or real shares — and your country's rules.
Can your instrument be sold at all?
- VSOPs and other virtual shares: usually not sellable — they're a contract that pays cash only at a company exit. There's nothing to transfer in a secondary.
- BSPCE, EMI and real-share schemes: can be exercised into actual shares that may be sold, subject to the company's transfer rules.
- STAK depositary receipts: sellable only under the foundation's rules.
If you hold real (or exercisable) equity
Then the decision mirrors the universal one — concentration, conviction, tax — but with European wrinkles: notarised transfers in some countries (see notarised transfer), dry-income tax risk, and local reliefs like France's PFU or the UK's BADR. These change the tax maths and sometimes the timing.
How to decide
- Identify your instrument and whether it can be transferred at all.
- Check the tax trigger. Some European equity is taxed before you have cash — a reason to seek liquidity. Liquidity in Europe.
- Find the route. A company tender, an approved buyer, or (for virtual shares) simply waiting for the exit. Finding a buyer.
- Apply the universal framework on how much to sell, if a sale is possible.
