Europe · overviewHow employee equity liquidity works in Europe
Europe's employee-equity landscape is a patchwork of national schemes, and your route to cash depends heavily on which one you hold — and which country you're in.
First: real shares or virtual?
The biggest divide across Europe is whether you hold real (or exercisable) shares or a virtual/contractual right. Real-share schemes — France's BSPCE, the UK's EMI, Dutch STAK receipts — can potentially be sold. Virtual schemes — Germany's VSOP and similar virtual shares — usually pay only at an exit and can't be sold.
The instruments by country
| Country | Common instrument | Sellable before exit? |
|---|---|---|
| Germany | VSOP (virtual) | Usually no |
| France | BSPCE (real shares) | Potentially, via exercise |
| UK | EMI / CSOP (real shares) | Potentially, via exercise |
| Netherlands | STAK receipts | Under the STAK's rules |
| Spain / Poland | Options schemes (often tax-deferred) | Potentially, under local rules |
The frictions that make it harder
- Virtual shares that only pay at an exit.
- Notarised transfers required in civil-law countries, adding cost and delay.
- Dry-income tax that can hit before you have cash — though reforms (like Germany's §19a) help.
- A thinner secondary market than the US, with fewer buyers for European private shares.
The realistic routes to liquidity
- A company tender or buyback — the cleanest route where offered. How tenders work.
- An approved secondary buyer — harder than in the US, but possible for real shares. Finding a buyer.
- Waiting for the exit — the default, and the only route for most virtual-share holders.
