How to use ChatGPT or Claude to help sell your startup shares — safely

AI is genuinely useful for figuring out an equity sale — and confidently wrong often enough to cost you real money. Here's how to make it work for you without the traps.

If you're thinking about selling some of your startup shares, you've probably already asked an AI a question or two. Good — used well, ChatGPT or Claude will explain jargon, draft letters and spot things to ask about in seconds. Used blindly, it will hand you a confident, wrong answer about a five- or six-figure decision. The difference is knowing where to trust it and where to stop.

Treat AI like a fast junior assistant

It's brilliant for first drafts, plain-English explanations and prompting you with questions. It is never the one who signs off. Three rules before you paste anything into a public AI tool:

Three prompts that actually help

Here are three you can use right now (swap in your redacted details):

1. Understand your paperwork

"You are helping me understand a startup equity document in plain English. For each section I paste, tell me (1) what it means in one sentence, (2) whether it affects my ability to sell my shares, and (3) any deadline it implies. Flag anything unusual. Don't guess about my tax or legal position — tell me where to get advice. Text: [PASTE, names redacted]"

2. Get a realistic value range

"Estimate a realistic sale price for shares in a private company. Last round price per share = [X]; shares I hold = [Y]; type = [common / preferred / unexercised options]. Walk me through my paper value, why a private secondary sells at a discount to that, and a sensible discount range. Show your reasoning and remind me it's an estimate."

3. Find the restrictions before they surprise you

"Based on typical startup shareholder agreements, list the restrictions that commonly control or block a share sale (right of first refusal, board approval, transfer rules). For each: what it is, how a seller clears it, and the question I should ask the company. Keep it general."
