European employee equity — the instrument guide

European equity isn't one thing — it's a different instrument in every country, with different tax and different rules on whether you can sell. Start with what you actually hold.

Frequently asked questions

Can European startup employees sell their equity like in the US?
Often not in the same way. What you can do depends entirely on the instrument — French BSPCE and UK EMI are real options/warrants on shares, while German VSOP is usually virtual (a contractual cash right, not a transferable share). Whether and how you can sell varies by country and by your specific grant and shareholders' agreement.
Why is European employee equity so different from US stock options?
Different legal systems and tax regimes produced different instruments: BSPCE in France, EMI in the UK, VSOP/GmbH structures in Germany, STAK in the Netherlands. Each has its own tax timing, transfer rules and liquidity path, so US-centric advice often doesn't apply — the instrument you hold drives everything.
